1. Definition of Confidential Information
"Confidential Information" means all information, technical data, trade secrets, know-how, software, and business information disclosed by the Disclosing Party to the Recipient, whether in writing, orally, or by other means.
2. Obligations of Recipient
The Recipient agrees to hold all Confidential Information in strict confidence and shall not disclose it to any third party without the prior written consent of the Disclosing Party. The Recipient shall use the Confidential Information solely for the Purpose stated above.
3. Exclusions
Confidential Information does not include information that: (a) is or becomes publicly known through no wrongful act of the Recipient; (b) is already known to the Recipient without restriction; or (c) is independently developed by the Recipient.
4. Term
The obligations of confidentiality under this Agreement shall survive the termination of any relationship between the parties and shall continue for a period of 5 years from the date of disclosure.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in Wilmington, Delaware.
